1. ELIGIBILITY & ACCOUNT REGISTRATION
ELIGIBILITY
- Use of the Platform is permitted only to persons who are competent to contract under the Indian Contract Act, 1872.
- By registering or using our Platform, you confirm that you are at least **18 years of age** and legally capable of entering into a binding agreement.
- If you are below 18 years, you may use the Platform only under the supervision of a parent or legal guardian, who shall be responsible for your conduct.
ACCOUNT REGISTRATION
- To access and use certain features of the Platform, including placing orders, you are required to create an account using your mobile number (verified through OTP) and other mandatory details.
- You agree to provide true, accurate, current, and complete information at the time of registration and to update such information promptly in case of any changes.
- The Company reserves the right to refuse registration, suspend, or terminate any account if the information provided is false, misleading, incomplete, or used in breach of these Terms.
ACCOUNT SECURITY
You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
Any unauthorized use of your Account must be reported to the Company immediately at madhyavarti08@gmail.com.
The Company shall not be liable for any loss or damage arising from failure by You to safeguard Your Account credentials.
SINGLE ACCOUNT POLICY
- Unless expressly permitted by the Company, each user may register and operate only **one Account** using a single verified mobile number and email ID.
- Duplicate, fraudulent, or impersonated Accounts may be suspended or permanently terminated without notice.
2. PRODUCT LISTINGS, PRICING & AVAILABILITY
PRODUCT INFORMATION
- All products listed on the Platform will be described as accurately as possible, including name, weight/quantity, images, price, and other details.
- While we strive to ensure accuracy, typographical errors, inaccuracies, or omissions may occur in product descriptions, pricing, or availability.
- Images are provided for representation purpose only. Actual product packaging, size, colour or appearance may vary from those displayed on the Platform.
PRICING
- Prices for products are listed in Indian Rupees (INR) and are inclusive of applicable taxes, unless specified otherwise.
- Prices are subject to change without prior notice due to market conditions, supplier changes, or regulatory requirements.
- The Company reserves the right to revise or update prices at any time, before or after an order is placed.
AVAILABILITY
All products are offered subject to availability. The Company does not guarantee that any product listed will be in stock at the time of Your order.
If a product is unavailable after an order is placed, the Company may, at its discretion:
- Cancel the product from Your order and issue a refund (if applicable), or
- Offer a suitable substitute product of equal or higher value with your consent.
ERRORS & CORRECTIONS
In the event of any error in pricing or product information, the Company reserves the right to correct such error and either: Cancel the order, or Provide you with the option to confirm the order at the corrected price or specifications.
3. ORDER PLACEMENT, CONFIRMATION & CANCELLATION
PLACING ORDERS
You may place an order for products available on the Platform by selecting the items and completing the checkout process. Orders will be processed only upon successful receipt of payment or confirmation of Cash on Delivery (if available).
ORDER CONFIRMATION
Once an order is placed, you will receive an acknowledgment via SMS/email/app notification. Such acknowledgment is only a confirmation of receipt of the order and does not constitute acceptance. **Acceptance of the order and formation of a binding contract occurs only when the order is packed and dispatched by the Company.**
RIGHT TO REFUSE OR CANCEL ORDERS
The Company reserves the right, at its sole discretion, to refuse or cancel any order, in whole or in part, including but not limited to cases where:
- The product is unavailable or out of stock,
- Errors exist in product description or pricing,
- Fraudulent or suspicious transactions are detected,
- Delivery cannot be made to the provided address.
In such cases, the Company will notify You and issue a refund, if payment has already been received.
CUSTOMER CANCELLATIONS
- You may cancel an order, in whole or in part, any time before the order is packed or dispatched, either through the Platform or by contacting customer support.
- Once an order is dispatched, cancellation requests cannot be accepted. However, you may initiate a return or refuse delivery subject to our Return & Refund Policy.
BULK ORDERS & RESALE
Orders intended for resale or excessive bulk quantities may be rejected or subject to additional terms at the discretion of the Company.
4. PAYMENT & REFUNDS
PAYMENT METHODS
- Payments for orders may be made through authorized payment gateways, including credit/debit cards, UPI, net banking, wallets, or Cash on Delivery (if available).
- All payment information is processed securely through third-party payment providers. **The Company does not store full card, bank, or UPI details on its servers.**
PAYMENT SECURITY
- Transactions are encrypted and processed using secure payment infrastructure in compliance with applicable laws and RBI guidelines.
- The Company shall not be liable for any unauthorized transactions, phishing attempts, or misuse of payment details by third parties outside its control.
ORDER VALUE & LIMITS
The Company may set minimum order values, delivery charges, or transaction limits, which will be displayed at the time of checkout. The Company reserves the right to decline or hold orders until verification of payment is completed.
REFUNDS FOR CANCELLATIONS & RETURNS
Refunds will be issued in the following cases:
- Orders cancelled by You before dispatch,
- Orders cancelled by the Company due to stock unavailability, errors, or other reasons,
- Approved returns under the Return & Refund Policy.
Refunds will be processed to the original payment method or credited to Your wallet/loyalty account (if available), unless otherwise specified.
REFUND TIMELINES
**Refund initiation will occur within 3–7 business days** of cancellation/return approval. The actual time to reflect in your account may vary depending on your bank, payment gateway, or service provider.
NO REFUND IN CERTAIN CASES
No refund will be issued for products that are perishable, opened, used, or tampered with, except where the product is defective, expired, or wrongfully delivered.
5. DELIVERY & LOGISTICS
DELIVERY COVERAGE
We deliver products only to locations that are serviced by our logistics partners within India. Availability of delivery to Your address will be confirmed during the checkout process.
DELIVERY TIMELINES
Estimated delivery times are provided at the time of order placement. Actual delivery may vary due to factors beyond our control, including traffic, weather, or operational constraints. The Company shall not be liable for delays in delivery that are reasonable and unavoidable.
DELIVERY PARTNERS
Deliveries are executed through third-party logistics partners, including **Parcelit Supply Chain Solutions Pvt Ltd**, **Tashwi Logistics Pvt Ltd**, and delivery management platforms such as **Fleetx.io**.
By placing an order, you consent to the Company sharing necessary details (name, contact number, delivery address, and order information) with such partners solely for the purpose of fulfilling your order.
DELIVERY CHARGES
Delivery charges, if applicable, will be displayed at checkout and added to the final bill. Free delivery may be offered on orders meeting specified criteria, as updated on the Platform from time to time.
FAILED DELIVERIES
Delivery will be attempted at the address provided by you. If you are unavailable or if delivery is refused without valid reason, the order may be marked as “Undelivered” and returned to the Company. In such cases, refund eligibility will be determined as per our Return & Refund Policy.
TRANSFER OF RISK
- Ownership and risk of loss/damage to products pass to you upon delivery at the address specified in Your order.
- If you authorize another person to accept delivery on your behalf, the Company shall not be responsible for any subsequent issues, including misuse or theft.
6. RETURNS, EXCHANGES & REFUND POLICY
ELIGIBILITY FOR RETURNS/EXCHANGES
Returns or exchanges may be requested in the following cases:
- Product delivered is damaged, defective, expired, or tampered with,
- Product delivered is different from what was ordered,
- Product is missing from the order but charged in the invoice.
Certain products (such as perishable goods, dairy, fresh produce, frozen items, opened packages, or items marked “non-returnable”) may not be eligible for return unless defective or wrongfully delivered.
RETURN/EXCHANGE REQUEST WINDOW
You must raise a request for return/exchange within **24 hours of delivery** by contacting customer support through the App/Website or helpline. Requests made after the stipulated time may not be entertained unless exceptional circumstances exist.
VERIFICATION & APPROVAL
All returned products will undergo verification by our team or logistics partners. Approval of a return/exchange request is subject to inspection of the product’s condition and compliance with this Policy.
REFUNDS
Once a return/exchange is approved, the refund process will be initiated. Refunds will be: Credited to your original payment method, or Transferred to your wallet/loyalty account (if available), at your option where applicable.
Refunds will be initiated within 3–7 business days of approval, but actual timelines depend on the bank or payment provider.
PARTIAL RETURNS/REFUNDS
- If only a portion of the order is returned, refund will be made only for the returned product(s).
- Delivery charges, if any, may not be refunded unless the return is due to the Company’s error.

REPLACEMENTS/SUBSTITUTIONS
In case of defective or unavailable products, the Company may, at its discretion, offer a replacement or suitable substitute product of equal value (subject to Your consent).
NON-COMPLIANCE
Returns may be refused if the product:
- Has been used, opened, or tampered with,
- Is not accompanied by the original invoice/receipt,
- Is returned without valid reason or outside the prescribed time limit.
7. USER OBLIGATIONS & PROHIBITED CONDUCT
LAWFUL USE
You agree to use the Platform and services only for lawful purposes and in compliance with all applicable laws and regulations of India.
ACCURATE INFORMATION
You shall provide true, accurate, complete, and updated information at the time of registration and while placing orders. The Company reserves the right to verify details and suspend or terminate accounts providing false, misleading, or incomplete information.
ACCOUNT RESPONSIBILITY
You are solely responsible for all activities carried out through your Account. You shall not share your Account credentials with others or allow unauthorized use.
PROHIBITED CONDUCT
You shall not, directly or indirectly:
- Engage in fraudulent transactions, multiple account creation, or misuse of offers and promotions.
- Use the Platform for resale, bulk buying, or any commercial purpose without prior written consent of the Company.
- Interfere with, damage, or disrupt the functionality of the Platform, including by introducing viruses, malware, or harmful code.
- Attempt to gain unauthorized access to the Platform, its servers, or data.
- Copy, reproduce, distribute, or exploit any content, software, or intellectual property without prior authorization.
- Misuse services by excessive cancellations, returns, or other activities detrimental to the Platform’s operations.
COMPLIANCE WITH POLICIES
You agree to comply with these Terms & Conditions, the Privacy Policy, Cookie Policy, Return & Refund Policy, and any other rules or guidelines notified by the Company.
CONSEQUENCES OF MISUSE
Any breach of this clause may result in suspension or termination of your Account, cancellation of orders, denial of future access to the Platform, and/or legal action as deemed appropriate.
8. INTELLECTUAL PROPERTY RIGHTS
OWNERSHIP OF CONTENT
All intellectual property rights in and to the Platform, including but not limited to text, images, product listings, graphics, logos, icons, software, source code, designs, and audio-visual materials, are the exclusive property of **Madhyavarti The Broker** or its licensors.
LIMITED LICENCE TO USERS
Subject to compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use in connection with ordering products and services offered.
RESTRICTIONS
You shall not:
- Copy, reproduce, modify, republish, upload, transmit, or distribute any content from the Platform without prior written consent of the Company.
- Create derivative works or reverse engineer, decompile, or disassemble any software, technology, or processes used in the Platform.
- Remove, alter, or obscure any copyright, trademark, or proprietary notices from the Platform or any content therein.
TRADEMARKS & BRANDING
The trademarks, trade names, service marks, domain names, FSSAI no and logos displayed on the Platform are the property of the respective Company or their respective owners. Use of such marks without prior written consent is strictly prohibited and may constitute infringement under applicable law.
THIRD-PARTY CONTENT
Certain content on the Platform, including product images, brand logos, or promotional material, may belong to third parties. All such intellectual property rights remain the property of their respective owners and are used on the Platform with authorization.
9. LIMITATION OF LIABILITY & INDEMNITY
DISCLAIMER OF WARRANTIES
The Platform, its content, and services are provided on an “as is” and “as available” basis. The Company makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, suitability, or availability of the Platform, products, or services. To the fullest extent permitted by law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
LIMITATION OF LIABILITY
To the maximum extent permitted under applicable law, the Company, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, or data, arising out of or related to:
- Use or inability to use the Platform or its services,
- Unauthorized access to or alteration of Your transmissions or data,
- Any third-party conduct, including service providers, delivery agents, or payment processors,
- Errors, defects, delays, or interruptions in the Platform.
In all cases, the Company’s total aggregate liability shall not exceed the total value of the order placed by you giving rise to such claim.
10. FORCE MAJEURE
The Company shall not be liable for any failure or delay in performance of its obligations under these terms if such failure or delay arises from causes beyond its reasonable control, including but not limited to:
- Natural disasters (floods, earthquakes, storms, pandemics, epidemics),
- Fire, explosion, or accidents,
- Strikes, lockouts, or labour disputes,
- Acts of terrorism, war, or civil commotion,
- Government actions, restrictions, or regulations,
- Disruption of communication, transportation, electricity, or internet services.
During such events, the Company’s obligations shall be suspended for the duration of the Force Majeure event. Reasonable efforts will be made to resume operations at the earliest possible time. If a Force Majeure event continues beyond **30 days**, either party may terminate the affected order or service without liability, except for refund of amounts already paid for undelivered products.
11. MODIFICATION OF TERMS
- The Company reserves the right to modify, amend, or update these Terms & Conditions, in whole or in part, at any time, at its sole discretion.
- Any such modifications will be effective upon posting the revised Terms on the Platform, with the updated “Effective Date” clearly displayed at the top of the page.
- Where changes are material in nature, the Company will provide prior notice to Users through prominent means such as in-app notifications, emails, or SMS alerts.
- It is your responsibility to review these Terms periodically. Continued use of the Platform following any modification shall constitute your acceptance of the revised Terms.
12. GOVERNING LAW & DISPUTE RESOLUTION
GOVERNING LAW
These Terms & Conditions shall be governed by and construed in accordance with the **laws of India**, without regard to conflict of law principles.
JURISDICTION
Subject to Clause 12.3 below, the courts at **Haryana** (or such other jurisdiction where the registered office of the Company is situated) shall have exclusive jurisdiction over any disputes arising from or relating to these Terms, the use of the Platform, or the purchase of products and services.
DISPUTE RESOLUTION MECHANISM
In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good faith negotiations within **30 days** of written notice. If the dispute remains unresolved, it shall be referred to and finally resolved by arbitration in accordance with the provisions of the **Arbitration and Conciliation Act, 1996**.
- The arbitration proceedings shall be conducted in the **English language**, with the seat and venue of arbitration in **Haryana, India**.
- The arbitral tribunal shall consist of a sole arbitrator appointed mutually by both parties. If the parties fail to agree within 15 days, the arbitrator shall be appointed in accordance with the said Act.
INJUNCTIVE RELIEF
Notwithstanding the above, the Company reserves the right to seek injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property rights, confidential information, or prevent misuse of the Platform.
